Terms of Service

1. Acceptance of Terms

By accessing or using OnyxWork (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. OnyxWork Inc. ("OnyxWork," "we," "us," or "our") reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

OnyxWork provides an autonomous AI workforce platform that deploys AI agents across engineering, customer support, QA, DevOps, CRM, operations, marketing operations, and media buying. Agents are deployed on a subscription basis and operate within the integrations and permissions granted by the customer. OnyxWork does not guarantee specific outcomes from agent execution.

3. Account Registration and Security

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must immediately notify us of any unauthorized use. OnyxWork is not liable for losses from unauthorized access due to failure to safeguard credentials.

4. Subscriptions and Billing

OnyxWork offers tiered subscription plans. All fees are billed in advance on a monthly or annual basis as selected at checkout. Pricing is subject to change with 30 days notice. Existing customers will be grandfathered at their current rate for the remainder of their billing period. Payment processing is handled by Paymob. Billing disputes should be directed to enterprise@onyxwork.dev.

Annual subscriptions are billed at a discounted rate reflecting a 15% savings off the monthly equivalent. This discount is conditional on the full annual commitment.

All subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before renewal. You will be charged the then-current rate unless you downgrade or cancel.

5. Refund Policy & Right of Withdrawal

For EU consumers, a 14-day right of withdrawal applies as described in our Refund Policy. Outside the EU, refunds are reviewed on a case-by-case basis. To submit a refund request, contact enterprise@onyxwork.dev. Approved refunds are processed within 10 business days.

Downgrading your plan takes effect at the start of the next billing cycle. Upgrading takes effect immediately with a prorated charge. OnyxWork reserves the right to deny refund requests for accounts that have consumed significant platform resources or agent execution time.

6. Managed Execution and Fair Use

OnyxWork subscriptions include managed autonomous execution for the agents included in your plan. We do not present customer-facing task meters or metered usage charges for normal business use. OnyxWork may rate-limit, pause, or review workloads that appear abusive, unlawful, security-sensitive, or materially outside the intended scope of the purchased subscription.

Dedicated Command customers may require a separate statement of work for VPC deployment, custom compliance work, migrations, unusual integration requirements, or enterprise procurement obligations. Standard subscription tiers do not carry an implementation fee.

7. Acceptable Use

You may not use OnyxWork to: (a) violate any applicable law or regulation; (b) infringe intellectual property rights of any third party; (c) distribute malware or engage in any harmful activity; (d) attempt to bypass tenant isolation or access another customer's data; (e) use agents for purposes that would violate human rights or applicable AI safety regulations. Violation may result in immediate termination without refund.

8. Data and Privacy

OnyxWork processes customer data as described in our Privacy Policy. You retain all ownership of your data. OnyxWork will not access, use, or share customer data except as necessary to provide the service or as required by law. Data is stored in multi-tenant isolation with Row-Level Security enforcement.

9. Intellectual Property

OnyxWork owns all rights to the Platform, including its software, agent governance layer (SOUL.md, playbooks, policies, skills), design system, and brand assets. Customer data remains the property of the customer. Agent-generated outputs belong to the customer who initiated the task.

10. Confidentiality

Each party agrees not to disclose the other's confidential information without prior written consent, except as required by law. Confidential information includes non-public business data, customer data, pricing, and technical architecture details. This obligation survives termination of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, OnyxWork's total liability for any claim arising from these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. OnyxWork is not liable for: (a) indirect, incidental, or consequential damages; (b) losses from agent performance or output quality; (c) service interruptions due to third-party infrastructure provider failures.

12. Disclaimer of Warranties

The Platform is provided "as is" without warranty of any kind. OnyxWork does not warrant that agents will be error-free, uninterrupted, or produce specific outcomes. Autonomous AI agents operate probabilistically, and OnyxWork expressly disclaims guarantees regarding agent accuracy, decision quality, or fitness for a particular purpose.

13. Termination

Either party may terminate this agreement with 30 days written notice. OnyxWork may immediately terminate or suspend access for violation of these Terms, non-payment, or activities that pose a security risk to the Platform. Upon termination, your data will be retained for 30 days before permanent deletion.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware, United States of America.

16. AI Agent Liability Disclaimer

AI agents deployed through OnyxWork operate probabilistically and autonomously within the boundaries configured by the customer. OnyxWork expressly disclaims liability for: (a) decisions made by AI agents; (b) outputs, code, communications, or actions generated by AI agents; (c) consequences of integrating AI agents with third-party services including but not limited to financial transactions, customer communications, code deployments, and data modifications. The customer is solely responsible for reviewing, supervising, and approving AI agent actions before they affect production systems, customer-facing communications, or financial instruments.

Customers agree to indemnify and hold harmless OnyxWork from any claims, damages, or losses arising from AI agent actions taken within the customer's configured integrations and permissions scope.

17. Marketing Communications

OnyxWork collects contact information through live chat, account registration, and lead forms. By providing your email and checking the consent box, you consent to receiving marketing communications from OnyxWork. You may withdraw consent at any time via the unsubscribe link in any email or by contacting enterprise@onyxwork.dev. Service-related transactional emails (billing, security, account) are not subject to marketing consent and will continue while your account is active.
